Terms of Service

These Terms govern access to Tolux Contracting, a service of Tolux LLC (“Tolux,” “we,” or “us”). By subscribing to or using the service, you agree to these Terms.

1. Service

Tolux Contracting provides tools for discovering contracting opportunities, organizing bid decisions, tracking readiness, and preparing proposal materials. Information may come from public sources and may change without notice. You are responsible for verifying every solicitation, deadline, requirement, and submission with the issuing agency.

2. No guarantee or professional advice

Tolux does not guarantee that you will qualify for, bid on, or win any contract. The service is not legal, accounting, tax, certification, or procurement advice and does not replace review by qualified professionals.

3. Accounts and acceptable use

You must provide accurate information, protect your account, and use the service lawfully. You may not interfere with the service, attempt unauthorized access, resell access, scrape protected data, or use the service to submit false or misleading information to a government buyer.

4. Subscription and cancellation

The Founding Plan is billed monthly through Stripe until canceled. Taxes may be added where required. You may cancel future renewals through the available billing process or by contacting info@tolux.org. Except where law requires otherwise, charges already paid are nonrefundable and access continues through the paid billing period.

5. Customer content

You retain ownership of information you submit. You grant Tolux a limited right to process that information only to operate, secure, support, and improve the service. Do not upload classified information, export-controlled information, Social Security numbers, payment-card data, or other data you are not authorized to share.

6. Intellectual property

Tolux owns the service, branding, interface, software, and original materials. These Terms grant you a limited, nonexclusive, nontransferable right to use the service during an active subscription.

7. Availability and changes

We may update, suspend, or discontinue features and may correct inaccurate information. We aim for reliable service but do not promise uninterrupted or error-free availability.

8. Disclaimer and limitation

The service is provided “as is” and “as available.” To the maximum extent permitted by law, Tolux disclaims implied warranties and is not liable for lost contracts, lost profits, missed deadlines, indirect damages, or decisions based on service content. Tolux’s aggregate liability will not exceed the amount you paid for the service during the three months preceding the claim.

9. Termination

We may suspend or terminate access for nonpayment, misuse, security risk, or violation of these Terms. Provisions that by their nature should survive termination will survive.

10. Governing law

Texas law governs these Terms, without regard to conflict-of-law rules. Courts located in Harris County, Texas will have exclusive jurisdiction unless applicable law requires otherwise.
